  7. Applicable Law, Jurisdiction and Arbitration: This Agreement shall be governed by and be interpreted in accordance with the laws of the Republic of South Africa.
  8. Amicable Resolution of Disputes:
    1. In instances where I have any grievance or complaint against FS Manufacture And Distribution International and / or any associated entity, which grievance / complaint emanates from this website, I hereby agree that I shall, prior to lodging such grievance / complaint within any formal dispute resolution structure contemplated herein, sincerely attempt to resolve such grievance / complaint with FS Manufacture And Distribution International (or any associated entity, as the case may be) amicably and informally.
    2. Pursuant to the above, I agree that in the event of a dispute or alleged breach of the terms hereof, I will work together with FS Manufacture And Distribution International in good faith to attempt to resolve the matter internally amicably by:
      1. submitting a written complaint to orders@kinesiobalancerange.co.za within a period of 30 (thirty) calendar days of the cause of the grievance / complaint having taken place;
      2. FS Manufacture And Distribution International shall have 30 (thirty) calendar days within which to respond to such complaint, following which the parties shall endeavour resolve the grievance / complaint to the greatest extent that may be possible within a subsequent period of 30 (thirty) days;
      3. should the matter not be effectively resolved within the aforementioned time period, or such extended period as circumstances may reasonably so dictate, then I shall be entitled to escalate my complaint to orders@kinesiobalancerange.co.za
      4. FS Manufacture And Distribution International shall have 30 (thirty) calendar days within which to respond to such elevated complaint, following which the parties shall endeavour resolve the grievance
        1. complaint to the greatest extent that may be possible within a subsequent period of 30 (thirty) days;
      5. to the extent that the dispute remains subjectively unresolved, then I shall be entitled to elevate the dispute to the Board of Directors of FS Manufacture And Distribution International . The format in which such a grievance / complaint shall be dealt with is in writing to the following email address orders@kinesiobalancerange.co.za
      6. the Board of FS Manufacture And Distribution International shall have 30 (thirty) calendar days within which to respond, following which the parties shall endeavour resolve the grievance / complaint to the greatest extent that may be possible.
      7. I acknowledge that should I not follow the aforementioned procedure, then I agree that I shall not be able to validly institute any formal dispute resolution mechanisms in respect of the relevant grievance / complaint, and that this provision shall serve as a valid defence to any claim so launched.
      8. I agree that any dispute regarding this Agreement that cannot be resolved amicably, shall, be referred to confidential and private arbitration in terms of the rules of the Arbitration Foundation of South Africa, which arbitration shall be conducted in English and in Cape Town, Western Province.
      9. In the event of any legal dispute or action being brought in connection with this Agreement, it is agreed that the venue of such action shall be Cape Town, Western Cape, South Africa and each party hereby consents to the jurisdiction of the relevant courts thereof.
      10. The provisions of clause 2.7.3 shall not apply in respect of a dispute pertaining to Clauses 1.1, 1.2 and 1.4, which dispute shall be bypass the need for arbitration, and in respect of which the Cape Town Magistrate’s Court, shall be vested with exclusive jurisdiction, dependant on the quantum and magnitude of the matter concerned.
      11. The costs of any dispute, in relation to these agreed terms and conditions, shall be borne by the unsuccessful party to any litigation or arbitration proceedings, on an attorney and own client scale.
      12. Website Intellectual Property: This Website constitutes software and content (such as: images, text, animation, photos, video, graphics, music, sound and voice) that is the intellectual property of FS Manufacture And Distribution International and/or various third parties and subject to the intellectual property laws of South Africa.   1. Sign Up/Registration: of FS Manufacture And Distribution International enables me to sign up online to order and of FS Manufacture And Distribution Internationals’ goods and/ or services. By signing up: I understand that I am entering into an electronic transaction; I warrant that I have the legal capacity to enter into such transaction and that I consent to the terms set out herein.
  2. I warrant that all the Personal Information provided by me during the Sign up process is true, correct and accurate. I undertake to provide FS Manufacture And Distribution International with written notification, to orders@kinesiobalancerange.co.za, should any of my Personal Information, required during the sign up process, change.
  3. Account: Upon signing up, FS Manufacture And Distribution International will set up an Account for me, and I will be granted secure access to the FS Manufacture And Distribution International shopping portal. My email address will be my Username and I will have to choose a Password for my Account, which information I undertake to keep confidential.     3. An Order Confirmation being sent by FS Manufacture And Distribution International to me.
  5. Payment:
    1. All payments must be effected in advance.
    2. FS Manufacture And Distribution International accepts payment by means of Credit Card (Visa Card, Mastercard, American Express) and EFT if proof of payment is provided and these terms and conditions are agreed to.
    3. FS Manufacture And Distribution International uses Virtual Card Services Payment Gateway (“VCS”) as its payment facility supplier for Credit Cards and thus places reliance on the security protocols affected by VCS. Further information regarding the security protocols implemented by VCS is available at the VCS website www.vcs.co.za.
    4. Transactions will only be processed upon proof and/or receipt of payment. Once my payment has been verified, FS Manufacture And Distribution International will ship the selected good(s) and/ or service(s) to the delivery address specified by me. A shipping / delivery fee may apply and, if applicable, will be stated clearly on the website before the order is finalised.
    5. All payments to FS Manufacture And Distribution International shall be effected in South African Rand (ZAR).
    6. An Invoice will be sent to me by way of email, to the email address that I provide during the sign up process.
    7. Payment by Credit Card: I authorise FS Manufacture And Distribution International and/or its payment facility supplier to charge the credit card submitted by me as the mode of payment for the goods and/or services so ordered. I warrant that I am the authorised user of such credit card.

LIMITATION OF LIABILITY: I hereby indemnify FS Manufacture And Distribution International , its officers, Directors, employees, agents, licensors and suppliers, and hold them harmless from and against any claims, damages, actions and liabilities, including but without limitation to my loss of profits, direct, indirect, incidental, special, consequential or punitive damages arising out of any security breaches which are attributable to: me, third parties and / or the payment facility supplier, and not attributable to FS Manufacture And Distribution International.
  6. Pricing
    1. FS Manufacture And Distribution International undertakes to take all reasonable steps to ensure that the its Website accurately displays the correct pricing and surcharges payable for goods and/ or services; as well as the availability and specifications of goods and/ or services offered for sale.
    2. Notwithstanding 4.5.1. above:
    3. (i) discrepancies in pricing published and invoiced may arise from, without limitation, changes in suppliers pricing, fluctuating exchange rates; and
    4. (ii) discrepancies in goods and/ or services descriptions and availability may arise from, without limitation, supplier’s goods and/ or services availability. In the event that this occurs, I will be informed of any pricing discrepancies and/or limitations in availability of goods and/ or services and I and/or FS Manufacture And Distribution International shall be entitled to terminate the order and/or transaction.
  7. Cancellation and Refunds:
    1. I am entitled to cancel my transaction prior to the date of dispatch of such goods, and I may receive either a credit on a subsequent purchase to the equivalent value, or a refund.
    2. My notice of cancellation must be sent to FS Manufacture And Distribution International via email to orders@kinesiobalancerange.co.za.
    3. Defects – To the extent that a product that I purchase through this website is defective, then I shall be entitled to a refund if such defect is objectively verified by or on behalf of FS Manufacture And Distribution International . The application for refund form is available here. In order to submit a complaint about a defective product, I must acknowledge that:
    4. I have read the warnings and indications on the label of the Product, and confirm that my complaint does not relate to any side-effect or contra-indication that is referred to on such label;
    5. I acknowledge that an allergic reaction to a product or substance is not a defect in the product, but rather a defect in the manner in which an individual human body (which in this instance is me) reacts to the product or substance, and as such, will not validate or give rise to any complaint or refund;
    6. I confirm that I have not tampered with the Product in any manner, or stored it in any conditions which are unfavorable, so as to render it defective.
    7. Aside from the aforegoing, products purchased from this website shall not be refunded.
    8. As far as medicines are concerned, the requirement to refund the consumer in full for returned goods falls away if, for reasons of public health, a public regulation prohibits the return of goods to a supplier once they have been supplied to a consumer. Good Pharmacy Practice dictates categorically that medicines returned by a patient may under no circumstances be used for another patient.
    9. I am aware that the Consumer Protection Act is not supposed to allow foolishness or absurdity as an excuse or basis for a claim. If I do not use the product correctly, abuse or misuse it, I will not be able to lay a complaint.
  8. Deliveries:
    1. FS Manufacture And Distribution International delivers within South Africa only.
    2. FS Manufacture And Distribution International will take all reasonable steps to ensure that my goods are delivered to me as soon as possible. In the event that my goods and are not delivered within ten (10)business days within the borders of South Africa, subject to the terms set out herein, I will be entitled to a refund.
    3. c) FS Manufacture And Distribution International recommends that I provide a physical daytime address for the delivery of my order, and for delivery to occur via the appointed Commercial Couriers to a daytime address at which the parcel can be accepted.
    4. d) FS Manufacture And Distribution International shall not be responsible for the delivery of orders delivered to a P.O. Box address, and risk therefore passes to me on dispatch of my order.
    5. e) I hereby indemnify FS Manufacture And Distribution International and hold them harmless from and against any claims, damages, actions and liabilities, including but without limitation to my loss of profits, direct, indirect, incidental, special, consequential or punitive damages arising out of late delivery that has occurred due to reasons that are beyond the control of and / or not attributable to FS Manufacture And Distribution International .
  9. Stock Availability
    1. FS Manufacture And Distribution International endeavors to ensure that there is sufficient stock availability, however it does not guarantee that it will always have stock of every item ordered.
    2. To the extent that stock ordered may not be available, then I will be contacted and offered a refund of that unavailable item, or to be issued with an appropriate credit on my account.
    3. I am aware that all promotional offers are at the discretion of FS Manufacture And Distribution International management, and may be withdrawn without prior notice. These offers are made in good faith and are per person and/or per address regardless of the number of orders placed. All offers are subject to stock/availability.
  10. Export Control Laws
    1. I understand and agree that FS Manufacture And Distribution International’s goods may be subject to import and export control laws and regulations of the Republic of South Africa. I undertake, where applicable, to adhere to these laws and regulations and agree not to, without prior authorisation from the Government of the Republic of South Africa, directly and/or indirectly export, re-export and/or transfer the FS Manufacture And Distribution International’s goods to any other country in contravention of such laws and regulations.
    2. FS Manufacture And Distribution International gladly accepts orders from all around the globe. Available product lines, shipping rates and fees may vary depending on the delivery address for my order. I am aware and acknowledge that my packages may be subject to the laws, regulations, import controls, customs fees and/or import duties of the country to which I have my order shipped.
